Private-beta terms
A clear agreement for a limited, invite-only beta.
Effective date: July 21, 2026. These terms govern invite-only access to CGP Gateway during the private beta. Access requires an accepted order or invitation from IOAI Gateway, Inc.
1. Parties and order of documents
These terms are between IOAI Gateway, Inc. (“IOAI Gateway,” “we,” “us”) and the organization identified in a private-beta order (“Customer”). Our headquarters and business mailing address are 30 N Gould St, Ste R, Sheridan, WY 82801, United States.
An order identifies the beta term, workspaces, authorized users, usage limits, support contact, fees if any, and any approved data terms. If documents conflict, the order and signed data terms control over these terms.
2. Private-beta access
We grant Customer a limited, non-exclusive, non-transferable right during the beta term for authorized personnel to access the hosted CGP Gateway control plane, API, sandbox, and documentation for internal evaluation. Access is invite-only, single-region, and subject to the limits stated in the order.
No software is sold, and no self-hosted runtime, production service-level agreement, guaranteed capacity, or general-availability commitment is included unless a later signed agreement expressly says otherwise.
3. Accounts and customer responsibilities
Customer designates administrators, keeps credentials secure, maintains accurate account information, configures permitted endpoints and policies, and ensures its users and connected systems comply with this agreement and applicable law. Suspected compromise must be reported promptly through the designated security contact.
4. Authorized use and restrictions
The service may be used to evaluate governed routing between applications, agents, AI services, devices, and approved tools. Customer may not use it to violate law or third-party rights; introduce malicious code; bypass access, tenant, quota, or safety controls; probe another tenant; disrupt the service; misrepresent outputs; or enable prohibited high-impact decisions without appropriate review and authorization.
Except where law does not permit restriction, Customer may not reverse engineer the service to extract proprietary protocol mechanics, resell beta access, publish benchmarks without written approval, or use the service to build a substantially similar competing gateway.
5. Customer data and connected services
Customer retains its rights in information and configuration it provides. Customer authorizes IOAI Gateway to process that material only as needed to operate requested routes, secure the service, provide support, and satisfy documented instructions. Payload content is transient and not persisted or used for shared-model training by default.
Customer selects and authorizes external endpoints, AI providers, agents, and services. Those destinations have their own terms and data practices; they are not part of IOAI Gateway. Data-processing roles, deletion, export, and international transfers may be addressed in a separate data addendum.
6. AI outputs and high-impact uses
Connected AI systems can produce inaccurate, incomplete, or unexpected results. Customer must test routes and outputs, apply appropriate human oversight, and decide whether output is suitable for its purpose. The gateway does not independently make legal, financial, employment, medical, safety-critical, or eligibility decisions.
7. Security and beta operations
We operate the controls described on the Trust page. No SOC 2 report, ISO/IEC 27001 certification, or other audit status is promised during the private beta. Customer acknowledges that beta software may contain defects and that architecture, interfaces, controls, and availability may change.
We provide reasonable notice of a confirmed security incident where law or the applicable agreement requires it.
8. Support, availability, and changes
We provide business-hours beta support and status updates through a designated contact. These terms do not include an uptime commitment, a response-time SLA, service credits, or a guaranteed disaster-recovery objective. We may change, limit, suspend, or discontinue beta features to protect the service, address risk, or improve the product, with reasonable notice where practicable.
9. Fees and taxes
The order states whether the evaluation is free or paid, the permitted usage, and any overage treatment. Customer pays undisputed charges and applicable taxes as stated in that order.
10. Ownership, feedback, and confidentiality
IOAI Gateway retains rights in the gateway, protocol implementation, software, documentation, and improvements; Customer retains rights in its data, systems, and marks. Feedback may be used to improve the product without identifying Customer publicly unless agreed otherwise.
Beta technical information may be confidential under a separate signed nondisclosure agreement.
11. Term, suspension, and deletion
The term appears in the order. Either party may end the evaluation on stated notice; access may be suspended immediately for security risk, unlawful use, or material breach. On termination, Customer stops using the service and has a defined period to export supported configuration or audit records before deletion and backup expiry.
12. Disclaimers and liability
The private beta is provided “as is” and “as available,” without warranties that it is uninterrupted, error-free, or fit for a particular production or high-risk purpose. To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages. Aggregate liability is limited as set forth in the order or, if silent, to fees paid for the beta period (or one hundred U.S. dollars if the evaluation is free).
13. Indemnity, compliance, and export
Customer is responsible for its data, lawful use, and compliance with export controls, sanctions, and sector-specific obligations applicable to its systems and destinations. Additional indemnity and compliance terms may appear in the order.
14. Governing law and disputes
These terms are governed by the laws of the State of Delaware, excluding conflict-of-laws principles. State or federal courts located in Delaware have exclusive jurisdiction, except where applicable law requires otherwise.
15. Third-party services
Connected services and third-party technologies remain subject to their own terms, service conditions, and data practices.
